Terms of service
1. Agreement to Resolve Disputes Directly: In the interest of fostering a constructive and efficient resolution to any disputes that may arise between you ("the Customer") and Showcase Mobility Inc. ("the Company"), the Customer agrees, as a first step, to address any such disputes directly with the Company. The Customer and the Company shall make a good faith effort to resolve any disagreements or disputes arising out of or relating to the Customer's use of the Company's services, products, or any other aspect of the Customer-Company relationship, through direct communication and negotiation.
2. Waiver of Right to Sue: By agreeing to these Terms and Conditions, the Customer waives the right to sue the Company in any court, or to participate in a class action lawsuit against the Company, related to any dispute that may arise. This waiver is a material inducement for the Company to enter into a business relationship with the Customer and provide the Customer with the right to access and use the Company's services and products.
3. Mandatory Mediation: If the dispute cannot be resolved through direct communication and negotiation, the Customer agrees to engage in good faith mediation efforts before a neutral mediator agreed upon by both parties. The costs of such mediation shall be shared equally between the Customer and the Company. Participation in mediation is a condition precedent to any further legal action.
4. Governing Law and Jurisdiction: These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Michigan, without giving effect to any principles of conflicts of law. For any disputes that are not resolved by direct negotiation or mediation, the Customer agrees that the exclusive jurisdiction and venue for any legal proceedings will be in the state or federal courts located in Michigan. By agreeing to these Terms and Conditions, the Customer consents to the jurisdiction of these courts and waives any objection to the convenience or propriety of venue therein.
5. Entire Agreement: This clause constitutes the entire agreement between the Customer and the Company with respect to dispute resolution and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the Customer and the Company with respect to this matter. Any rights not expressly granted herein are reserved.
6. Acknowledgment: By using the Company's services or purchasing its products, the Customer acknowledges having read and understood this Dispute Resolution and Jurisdiction Clause and agrees to be bound by its terms.
